CONSTRUCTCONNECT API AND CONTENT ACCESS RIDER
Scope
This Rider applies only to Subscriber’s access to and use of ConstructConnect’s APIs, SDKs, developer documentation, credentials, MCP (Model Context Protocol) servers, connectors, agents, and any other programmatic or machine-to-machine method ConstructConnect makes available for accessing its platform, Services, or CC Data (collectively, “API Access”). Standard browser-based use of ConstructConnect’s products is outside this Rider and remains governed by the MSA alone.
This ConstructConnect API and Content Access Rider (“Rider”) forms part of the ConstructConnect Master Subscription Agreement (“MSA”) between ConstructConnect, Inc. (“ConstructConnect”) and the Subscriber identified in the applicable Order Form. Capitalized terms not defined here have the meanings given in the MSA. Where this Rider conflicts with the MSA regarding API Access, this Rider controls.
1. Definitions
“API Access” means ConstructConnect’s APIs, SDKs, developer documentation, credentials, MCP servers, connectors, agents, and any other programmatic or machine-to-machine method ConstructConnect makes available for accessing its platform, Services, or CC Data, whether existing now or introduced later.
“AI/ML” means any machine learning model, artificial intelligence system, large language model, or automated decision-making tool.
2. Grant
2.1 ConstructConnect grants Subscriber a limited, non-exclusive, non-transferable, non-sublicensable right to use API Access solely to develop, test, support, and operate Subscriber’s application, service, or integration with ConstructConnect’s platform or Services for the purposes authorized under the MSA and the applicable Order Form. Subscriber may display CC Data within its application or service solely as contemplated by the MSA, the applicable Order Form, and this Rider.
2.2 Subscriber’s use of API Access must comply with ConstructConnect’s developer documentation, usage limits, rate limits, and Acceptable Use Policy, in each case as updated on reasonable notice. ConstructConnect may monitor Subscriber’s API Access usage and may modify, deprecate, suspend, or discontinue any API, version, or feature on reasonable notice, or immediately if reasonably necessary to address security, misuse, excessive usage, or service integrity.
3. Restrictions
In addition to the restrictions in MSA Section 3.5, Subscriber will not, and will not permit any third party to:
- sell, lease, transfer, sublicense, disclose, or make available API Access or CC Data except as expressly permitted by the MSA or this Rider;
- share credentials, API keys, access tokens, or other authentication materials with any unauthorized person or entity;
- access or attempt to access ConstructConnect’s platform, CC Data, or Services through bots, scrapers, browser automation tools, robotic process automation, AI agents, or other automated means other than authorized API Access, or combine CC Data with data obtained through scraping, crawling, or other unauthorized access methods;
- interfere with ConstructConnect’s Services or evade, circumvent, or attempt to circumvent any security, authentication, access control, rate limiting, or usage restriction;
- copy, adapt, reformat, reverse engineer, disassemble, decompile, translate, or otherwise analyze API Access, CC Data, or ConstructConnect’s platform or Services for the purpose of extracting, mirroring, or reconstructing functionality, algorithms, data models, schemas, or business logic, including by monitoring, observing, or analyzing the inputs and outputs of ConstructConnect’s platform or Services in order to replicate, approximate, or reconstruct that functionality;
- use API Access, CC Data, or any data or metadata obtained through or derived from them, including outputs, analytics, or results generated through API Access, to train, fine-tune, validate, benchmark, or otherwise develop or improve any AI/ML, or to develop, create, or enhance any product, service, database, or model that is functionally equivalent to, or a substitute for, any product or service offered by ConstructConnect. For clarity, this Section 3(f) does not restrict Subscriber’s ordinary use of a third-party AI/ML tool at inference time to process CC Data solely for Subscriber’s own permitted use of the Services, so long as that use does not itself train, fine-tune, validate, or benchmark the AI/ML tool on CC Data; or
- create or use any false, misleading, or pretext identity, account, or entity to obtain or use API Access, or use credentials issued to another person or entity.
4. Ownership
Consistent with MSA Section 6.1, as between ConstructConnect and Subscriber, ConstructConnect retains all right, title, and interest in and to API Access, CC Data, and ConstructConnect’s platform and Services. CC Data remains ConstructConnect’s property even where incorporated into Subscriber-facing displays, reports, analytics, or other outputs, including outputs from AI/ML used as permitted by Section 3(f).
5. Confidentiality
API Access, including developer documentation, credentials, and other non-public information relating to API Access, is ConstructConnect Confidential Information under MSA Section 7.
6. Affiliated Users and Third Parties
If Subscriber permits any Affiliated User, contractor, or other third party to access CC Data or Subscriber’s integration built using API Access, Subscriber remains responsible for that access and will ensure the applicable person is bound by written terms at least as restrictive as Section 3. For clarity, display of CC Data to Subscriber’s Affiliated Users within Subscriber’s application or service as permitted by the MSA does not by itself violate this Rider.
7. Suspension; Termination
ConstructConnect may suspend or terminate Subscriber’s API Access immediately if ConstructConnect reasonably believes Subscriber has breached this Rider, exceeded usage limits, created a security risk, or used API Access in a manner that could harm ConstructConnect’s Services, CC Data, or other subscribers. Upon expiration or termination of the MSA or this Rider, Subscriber will cease using API Access and destroy or disable all credentials and copies of developer documentation and other ConstructConnect Confidential Information, except as required by law or ConstructConnect’s routine backup or archival systems. Subscriber acknowledges that a breach of Section 3, 4, or 5 of this Rider may cause irreparable harm to ConstructConnect for which monetary damages would be inadequate, and ConstructConnect may seek equitable relief in addition to any other remedy available under the MSA or at law.
8. Miscellaneous
8.1 This Rider forms part of and is governed by the MSA. Except as expressly modified by this Rider, the MSA remains unchanged and in full force. For API Access, in the event of conflict: (1) the Order Form, if it specifically identifies and approves the superseded terms as required by MSA Section 12.13; (2) this Rider; (3) the MSA.
8.2 ConstructConnect may amend this Rider as permitted by MSA Section 12.9.
8.3 Sections 3, 4, 5, and 7, and any provision that by its nature should survive, will survive expiration or termination of this Rider or the MSA.
