1. Definitions

1.1 "Program" means the ConstructConnect Customer Referral Pilot Program described in these Terms.

1.2 "Referrer" means an eligible ConstructConnect customer who submits a Referral under the Program.

1.3 "Referral" means a submission by a Referrer identifying a Referred Prospect through the Program's designated submission form.

1.4 "Referred Prospect" means a business entity identified in a Referral submission.

1.5 "Qualified Referral" means a Referral that satisfies all qualification criteria in Section 6.

1.6 "Referred Customer" means a Referred Prospect that has executed a new ConstructConnect subscription agreement following a Qualified Referral.

1.7 "Reward" means the account credit or cash payment issued to a Referrer upon qualification as described in Section 7.

1.8 "Net-New Customer" means a Referred Prospect with (a) no active ConstructConnect contract; (b) no completed ConstructConnect product demonstration; and (c) no open opportunity in ConstructConnect's customer relationship management system ("CRM") within the prior twenty-four (24) months, in each case as determined by ConstructConnect.

1.9 "Pilot Period" means the Program duration set by ConstructConnect (currently anticipated as Q1–Q2 2026), subject to the criteria in Section 13.

2. Eligibility – Referrers

2.1 To participate as a Referrer, a customer must, at the time of Referral submission:
(a) hold an active ConstructConnect subscription in good standing, with no overdue payments or active billing disputes;
(b) have been a ConstructConnect customer for at least six (6) consecutive months;
(c) be located in the United States or Canada; and
(d) have received an invitation to participate during the Pilot Period.

2.2 ConstructConnect may verify eligibility at any time and may disqualify any Referrer who does not meet these criteria.

3. Ineligible Referrers

3.1 The following persons and entities are not eligible to participate as Referrers:
(a) current employees, officers, contractors, or agents of ConstructConnect, Roper Technologies, or any of their affiliates;
(b) customers seeking to refer their own subsidiaries, affiliates, parent companies, or any entity under common ownership or control;
(c) channel partners, resellers, or distributors of ConstructConnect products who hold a separate commercial agreement;
(d) any customer with an open formal escalation, legal dispute, or unresolved billing dispute with ConstructConnect at the time of Referral submission; and
(e) any person whose participation would violate applicable law or the policies of their employer.

4. Eligible Referred Prospects

4.1 A Referred Prospect must, at the time of Referral submission:
(a) meet the Net-New Customer criteria in Section 1.8;
(b) be a legitimate business entity, not an individual consumer;
(c) be located in the United States or Canada; and
(d) not be an active lead or customer in ConstructConnect's CRM, as determined by ConstructConnect.

4.2 ConstructConnect's determination of Referred Prospect eligibility is final.

5. Referral Submission and Attribution

5.1 Referrals must be submitted only through the Program's designated submission form.

5.2 Each valid submission creates a timestamped record in ConstructConnect's CRM.

5.3 If multiple Referrers submit the same Referred Prospect, attribution will be assigned to the earliest valid timestamped Referral record. Later submissions for the same Referred Prospect are not eligible for a Reward.

5.4 Attribution remains in effect for twelve (12) months from the Referral submission date. If a deal does not close within that window, attribution expires and the Referred Prospect is released.

5.5 ConstructConnect's CRM is the sole authoritative system of record for attribution, eligibility checks, opportunity tagging, and payout authorization.

6. Qualification

6.1 A Referral becomes a Qualified Referral only when all of the following have occurred:
(a) the Referred Prospect has entered an active sales engagement with ConstructConnect;
(b) the Referred Prospect has executed a new ConstructConnect subscription agreement; and
(c) the Referred Customer's first invoice has been paid in full.

6.2 ConstructConnect will notify the Referrer when a Referral has been confirmed as a Qualified Referral.

7. Rewards

7.1 Upon qualification, Referrers are eligible for a Reward of two hundred U.S. dollars (USD $200) per Qualified Referral, issued as follows:

  1. Primary – Account Credit. A USD $200 credit applied to the Referrer's account at the next subscription renewal, processed through ConstructConnect's billing system.
  2. Secondary – Cash Payment to Business Entity. Where an account credit cannot reasonably be applied (as determined by ConstructConnect), a USD $200 cash payment may be made to the Referrer's business entity, subject to completion of tax and vendor setup requirements under Section 8.

7.2 Individual gift cards, payments to natural persons, and personal payments of any kind are not available as Reward options under this Program. All cash payments, if any, will be made only to business entities.

7.3 ConstructConnect reserves the right to determine the applicable Reward form for each Qualified Referral and may change available Reward options prospectively.

8. Caps, Payout Process, and Timing

8.1 Annual Cap. A Referrer may receive Rewards for up to eight (8) Qualified Referrals per calendar year, for a maximum annual Reward value of one thousand six hundred U.S. dollars (USD $1,600) per Referrer.

8.2 Payout Trigger. Rewards are issued only after the Referred Customer's first invoice has been paid in full and all qualification and verification steps are complete.

8.3 Processing and Timing. Rewards are processed in monthly or quarterly batches. ConstructConnect will use commercially reasonable efforts to issue Rewards within forty-five (45) days after the applicable trigger event.

8.4 Tax and Vendor Setup. For any cash payment, the payee must (a) provide a completed IRS Form W‑9 (or equivalent tax form, as applicable); and (b) be set up as a vendor in ConstructConnect's accounts payable system before any payment is processed. These requirements apply regardless of expected payment amount.

8.5 ConstructConnect may withhold, delay, or deny any Reward where it suspects in good faith that fraud, abuse, or ineligibility may be involved, pending completion of its review.

9. Conflict of Interest

9.1 By submitting a Referral, the Referrer represents and warrants that:
(a) their participation in the Program is permitted under their employer's conflict of interest, gift acceptance, ethics, and similar policies; and
(b) they have made any disclosures to their employer required by such policies.

9.2 ConstructConnect is not responsible for a Referrer's compliance with their employer's policies and may rely in good faith on the foregoing representations.

10. Tax Obligations

10.1 Rewards may constitute taxable income to the Referrer or the Referrer's business entity.

10.2 ConstructConnect will comply with applicable tax reporting and withholding requirements but does not provide tax advice.

10.3 Referrers are solely responsible for reporting and paying any taxes owed on Rewards received.

11. FTC Disclosure

11.1 Referrers who publish any public review, testimonial, endorsement, or similar public statement about ConstructConnect or its products while participating in the Program must clearly and conspicuously disclose their participation in the Program and their receipt (or potential receipt) of a Reward.

11.2 ConstructConnect may provide suggested disclosure language, but Referrers remain responsible for complying with applicable advertising and disclosure laws and regulations.

11.3 ConstructConnect may remove a Referrer from the Program for failure to comply with applicable disclosure obligations.

12. Anti-Fraud and Program Integrity

12.1 ConstructConnect may, in its sole discretion, disqualify any Referral or Referrer and deny or cancel any Reward if it determines that:
(a) the Referral was not submitted in good faith;
(b) the Referral or related information is false, misleading, or incomplete;
(c) the Referrer has attempted to circumvent Program rules (including self-referrals, same-company referrals, or duplicate submissions); or
(d) the Referrer has otherwise engaged in fraud, abuse, or conduct inconsistent with the intent of the Program.

12.2 ConstructConnect's determinations regarding fraud, abuse, and eligibility are final and binding.

13. Pilot Period; Modification and Termination

13.1 The Program operates as a time-limited pilot. ConstructConnect may set and adjust pilot start and end dates and related performance criteria at its discretion.

13.2 ConstructConnect may modify, suspend, or terminate the Program or these Terms, in whole or in part, at any time. Material changes will apply prospectively.

13.3 Any continuation of the Program beyond the Pilot Period requires a formal internal review and approval following the same approval path as the original launch authorization.

14. Disputes

14.1 Referrers must raise any dispute regarding Referral attribution, eligibility, or Reward issuance within thirty (30) days of the relevant trigger event, using the contact method designated by ConstructConnect for the Program.

14.2 ConstructConnect will review disputes in good faith. ConstructConnect's final written determination will be binding with respect to the Program.

15. Relationship of the Parties

15.1 Participation in the Program does not create any partnership, joint venture, employment, agency, or franchise relationship between the Referrer and ConstructConnect.

15.2 Referrers are independent parties and have no authority to bind ConstructConnect or make commitments on its behalf.

16. Governing Law and Entire Agreement

16.1 These Terms are governed by the laws of the State of Ohio, without giving effect to its conflict of law rules.

16.2 These Terms, together with any Program-specific approval memo and written addenda issued by ConstructConnect, constitute the entire agreement between ConstructConnect and the Referrer with respect to the Program and supersede all prior or contemporaneous understandings on the same subject matter.
