1. Definitions

1.1 "Program" means the ConstructConnect Customer Rewards Pilot Program described in these Terms.

1.2 "Participant" means an eligible ConstructConnect customer who has been invited to and enrolled in the Program.

1.3 "Advocacy Activity" means a qualifying activity completed by a Participant and approved by ConstructConnect under Section 4.

1.4 "Points" means non-monetary Program credits awarded to Participants upon completion of Advocacy Activities.

1.5 "Tier" means the Program membership level (currently Community Member, Champion, or Ambassador) assigned to a Participant by ConstructConnect.

1.6 "Program Credits" means non-cash, non-transferable credits that Participants may obtain by redeeming Points and that may be used solely to receive rewards offered under the Program. Program Credits are currently implemented as credits to ConstructConnect's designated company store platform, presently branded "Stadium," which may be redeemed for merchandise, experiences, or other non-cash items that ConstructConnect makes available from time to time. Program Credits are not cash, do not have a cash or face value, and may not be redeemed for cash, cash equivalents, or gift cards.

1.7 "Advocacy Agreement" means the written agreement executed by a Participant at enrollment governing consent to use of name, logo, and content and related terms.

1.8 "Pilot Period" means the Program duration set by ConstructConnect (currently anticipated as the first half of 2026), subject to Section 10.

2. Eligibility and Enrollment

2.1 Participation is by invitation only.

2.2 To be eligible, a customer must, at the time of enrollment:
(a) hold an active ConstructConnect subscription with no open escalations or unresolved billing disputes;
(b) meet minimum tenure and account health criteria determined by ConstructConnect;
(c) have at least one contact at manager level or above willing to participate in Advocacy Activities; and
(d) execute the Advocacy Agreement prior to activation.

2.3 ConstructConnect may accept or decline any invitation or enrollment request in its sole discretion.

3. Program Tiers

3.1 ConstructConnect assigns Participants to Tiers based on activity volume, account health, relationship depth, and other factors determined by ConstructConnect.

3.2 Current Tiers include:
(a) Community Member – entry tier, typically upon completion of at least one (1) Advocacy Activity.
(b) Champion – intermediate tier, generally upon completion of two (2) or more Advocacy Activities and a positive account health review.
(c) Ambassador – advanced tier, generally upon completion of three (3) or more Advocacy Activities and identification of an executive-level sponsor at the Participant's organization.

3.3 ConstructConnect may modify Tier criteria, introduce or remove Tiers, or reassign Participants between Tiers at any time, including based on changes in account health or policy considerations.

4. Qualifying Advocacy Activities

4.1 The following, when completed as directed by ConstructConnect and in good faith, may qualify as Advocacy Activities for Points purposes:
(a) verified reviews posted on third-party platforms such as G2, Capterra, or Google;
(b) completion of ConstructConnect surveys or structured research participation;
(c) participation in a reference call with a ConstructConnect prospect;
(d) contribution of a written or video testimonial;
(e) participation as a speaker or panelist at a ConstructConnect webinar or event;
(f) participation in a formal case study;
(g) participation in Customer Advisory Board meetings or sessions; and
(h) such other activities as ConstructConnect may designate from time to time.

4.2 ConstructConnect will determine, in its discretion, whether an activity has been properly completed and qualifies for Points.

5. Points, Caps, and Redemption

5.1 Points Accrual. ConstructConnect awards Points to Participants upon confirmed completion of Advocacy Activities at rates determined and communicated by ConstructConnect (for example, a specified number of "Crew points" per activity). Point earning rates and activity eligibility may be updated by ConstructConnect from time to time and will apply prospectively.

5.2 Nature of Points. Points are not cash, have no cash or face value, are non-transferable, and may not be sold, assigned, pledged, or redeemed for cash, cash equivalents, or gift cards. Points may be used only to obtain Program Credits as described in Section 5.3.

5.3 Program Credits and Rewards Platform. Points may be redeemed only for Program Credits made available by ConstructConnect from time to time. Program Credits are currently implemented as credits to ConstructConnect's designated company store platform, presently branded "Stadium," which may be redeemed for merchandise, experiences, or other non-cash items offered through that platform. Unless otherwise specified in Program materials, one (1) Point may be redeemed for one U.S. dollar (USD $1.00) in Program Credits on the Stadium platform. ConstructConnect may modify the Rewards Platform, the categories of items available for redemption, and the Point-to-credit conversion rate on a prospective basis.

5.4 Fulfillment Mechanism. Program Credits are fulfilled through ConstructConnect's designated rewards platform (currently Stadium). ConstructConnect may change its fulfillment mechanisms or third-party rewards platform at any time. Participants are responsible for complying with any applicable terms of use of the rewards platform.

5.5 Per-Participant Caps. ConstructConnect may set annual or Program-level caps on Points that may be earned or redeemed by any Participant. For the current pilot, ConstructConnect anticipates a per-Participant annual cap of approximately five hundred (500) Points (equivalent to approximately USD $500 in Program value). ConstructConnect may adjust caps prospectively by updating Program materials or communications.

5.6 Expiration of Points. Points expire on the earliest of: (a) twelve (12) months after the date they are earned; (b) termination or expiration of the Program; (c) the Participant's exit from the Program; or (d) such earlier time as ConstructConnect may specify in Program materials, in each case with reasonable advance notice where feasible. Expired Points and any associated Program Credits have no value and may not be reinstated.

6. FTC Disclosure

6.1 Participants who publish any public review, testimonial, social media content, case study, or other public endorsement of ConstructConnect or its products while enrolled in the Program must clearly and conspicuously disclose their participation in the Program and any associated incentives or benefits.

6.2 ConstructConnect will provide guidance on appropriate disclosure language, but Participants are ultimately responsible for complying with applicable advertising and disclosure laws and regulations.

6.3 ConstructConnect may suspend or remove any Participant from the Program for failure to comply with applicable disclosure obligations.

7. Advocacy Agreement; Use of Name, Logo, and Content

7.1 Prior to activation in the Program, each Participant (or its authorized representative) must execute the Advocacy Agreement.

7.2 Subject to the Advocacy Agreement, Participant grants ConstructConnect a non-exclusive, worldwide, royalty-free license to use Participant's name, company name, company logo, and submitted testimonial or advocacy content in ConstructConnect's marketing materials, website, press releases, events, and co‑marketing activities.

7.3 Participants may withdraw consent to future use of their name, logo, or content with thirty (30) days' written notice to ConstructConnect, in accordance with the Advocacy Agreement. Withdrawal does not affect materials published prior to the effective date of the withdrawal.

8. Pay-to-Praise Prohibition

8.1 Participation in the Program and receipt of Points or Program Credits do not obligate or require Participants to provide positive reviews, endorsements, or statements.

8.2 All public content submitted as part of or in connection with Advocacy Activities must reflect the Participant's honest opinions, findings, beliefs, or experiences.

8.3 ConstructConnect will not condition Program participation, Tier status, or benefits on the sentiment, rating, or positivity of any review or endorsement.

9. Tax Obligations

9.1 Program Credits and other benefits received under the Program may have tax consequences for Participants.

9.2 ConstructConnect will comply with applicable tax reporting and withholding requirements but does not provide tax, accounting, or legal advice.

9.3 Participants are solely responsible for determining and fulfilling any tax obligations associated with participation in the Program or receipt of Program Credits or other benefits.

10. Pilot Period; Program Modification and Termination

10.1 The Program operates as a time-limited pilot. ConstructConnect may set and adjust the Pilot Period, participation limits, and performance criteria at its discretion.

10.2 ConstructConnect may modify these Terms, adjust Point values, change redemption options, alter Tier criteria, or suspend or terminate the Program at any time, with changes applying prospectively.

10.3 Unless renewed by ConstructConnect following a cross-functional review and approval process, the Program will conclude at the end of the Pilot Period. Participants will receive reasonable advance notice of material changes or Program termination where feasible.

11. Relationship of the Parties

11.1 Participation in the Program does not create any partnership, joint venture, employment, agency, or franchise relationship between the Participant and ConstructConnect.

11.2 Participants have no authority to bind ConstructConnect or make commitments on its behalf.

12. Governing Law and Entire Agreement

12.1 These Terms are governed by the laws of the State of Ohio, without giving effect to its conflict of law rules.

12.2 These Terms, together with the Advocacy Agreement and any written Program-specific addenda issued by ConstructConnect, constitute the entire agreement between ConstructConnect and the Participant regarding the Program and supersede all prior or contemporaneous understandings on the same subject matter.
